Introduction

These Terms of Service (“Terms”) govern your access to and use of the website, Shopify storefront, customer accounts, ordering functions, products, services, features, and related services operated by Chefs Collection Food & Supply, doing business as (DBA) Chefs Collection Food (“Chefs Collection,” “we,” “us,” or “our”).

Our storefront is powered by Shopify, which provides the commerce technology and related services that enable us to operate our online store. Chefs Collection Food & Supply is the seller and merchant of record for all sales completed through this Shopify Store. Shopify is not the seller or merchant of record for our products.

1. Acceptance of Terms and Incorporated Policies

By accessing or using our website, customer accounts, ordering functions, or related Services, or by placing an order, you agree to these Terms and to the policies and product-specific terms incorporated by reference, including our Return, Refund & Cancellation Policy; Shipping, Delivery & Pickup Policy; Privacy Policy; Food Safety & Allergen Notice; Gift Card Terms; Loyalty & Rewards Program Terms; Store Credit Terms; and applicable product-specific or promotional terms.

If you do not agree to the applicable terms, you should not use the applicable Service or place an order.

Nothing in these Terms limits any consumer right, remedy, warranty, or protection that cannot lawfully be waived.

2. Our Business and Platform Structure

Chefs Collection Food is a curated food and lifestyle commerce platform. Our current and future offerings may include Chefs Collection Food-branded products; products offered directly by Chefs Collection Food; independently branded or supplied products from approved chefs, food producers, suppliers, manufacturers, or brands; curated cooking, dining, entertaining, outdoor, camping, kitchen, and related non-food merchandise; and other lawful products or services that we may introduce.

Product categories, brands, production relationships, suppliers, participating chefs, manufacturers, fulfillment methods, and availability may change over time.

3. Third-Party Production and Fulfillment Partners

Chefs Collection Food uses, and may from time to time use, approved third-party food producers, commercial kitchens, manufacturers, suppliers, and other qualified production or fulfillment partners to produce, prepare, package, manufacture, or fulfill certain Chefs Collection Food-branded or directly offered products on our behalf.

Use of a production partner does not by itself convert a Chefs Collection Food-branded product into an independently sold product of that production partner.

For sales completed through this Shopify Store, Chefs Collection Food & Supply remains the seller and merchant of record, even when an approved third party performs production, preparation, packaging, manufacturing, or fulfillment functions.

4. Independent Chefs, Producers, Suppliers, and Brands

We may also offer products independently produced, branded, manufactured, or supplied by approved third parties. Those parties remain responsible for matters legally attributable to their products or activities, which may include applicable production, licensing, permits, labeling, product claims, product information, warranties, safety information, certifications, and regulatory compliance.

Chefs Collection Food may establish additional participation, documentation, insurance, quality-control, food-safety, labeling, fulfillment, and platform requirements.

Nothing in this section limits Chefs Collection Food & Supply’s responsibilities to customers as seller or merchant of record where applicable law imposes those responsibilities on us.

5. Eligibility and Accurate Information

You must be legally capable of entering into the applicable transaction. When creating or using an account, placing an order, making a payment, requesting delivery or pickup, submitting a cancellation or return request, or otherwise communicating with us, you agree to provide accurate, current, and complete information.

You are responsible for maintaining accurate contact information, billing information, delivery address, pickup information, access instructions, and other information reasonably necessary to process or fulfill your order.

6. Customer Accounts

Certain features may require or permit use of a Shopify Customer Account or another account functionality supported by our Services. You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account to the extent permitted by law.

You may not impersonate another person, create an account using materially false information, or use another person’s account without authorization. We may restrict or suspend account access where reasonably necessary to address fraud, abuse, security risks, violations of these Terms, or other unlawful activity.

7. Orders, Order Confirmation, and Acceptance

All orders are subject to applicable conditions, including product availability; operational or production capacity; delivery or pickup service area; scheduling availability; payment authorization or verification; fraud or security review; quantity limits; product-specific restrictions; and other conditions disclosed before purchase.

An automated order confirmation confirms that we received your order. It does not necessarily constitute unconditional final acceptance if the order remains subject to payment verification, fraud review, product availability, pricing correction, operational review, or another lawful condition.

We may refuse or cancel an order, limit quantities, correct material errors, modify availability, or discontinue products where reasonably necessary and permitted by law.

If we cancel an order for a merchant-caused reason, refund treatment is governed by our Return, Refund & Cancellation Policy, and the customer will not be charged the customer-initiated 3% cancellation/payment-processing fee.

8. Product Information and Availability

We make reasonable efforts to provide accurate product descriptions, photographs, ingredients, allergen information, specifications, quantities, availability, pricing, and other information. However, product appearance, packaging, ingredients, recipes, suppliers, production partners, specifications, availability, and other characteristics may change where permitted by law.

Photographs are illustrative and may not perfectly represent color, appearance, portion presentation, packaging, or other characteristics of the actual product.

If we identify a material pricing, description, availability, or other error before completing an order, we may correct the error and, where appropriate, contact the customer or cancel the affected transaction as permitted by law.

9. Pricing, Taxes, Fees, Promotions, and Discounts

Prices may change before an order is placed. Applicable sales tax and other legally required taxes, charges, or assessments may be calculated and collected as required by law.

Delivery fees, surcharges, cancellation/payment-processing fees, future return-related fees for eligible non-food merchandise, and other charges apply only where disclosed through the applicable policy, product page, cart, checkout, or other legally sufficient disclosure.

Promotions, bundles, combo pricing, discounts, loyalty offers, coupon codes, Gift Card promotions, and limited-time offers may have separate eligibility requirements, exclusions, expiration dates, quantity limits, redemption rules, or stacking restrictions. The terms disclosed for a particular promotion apply to that promotion.

10. Payments

Orders may be paid using payment methods that we make available, which may include Shopify-supported payment methods; credit or debit cards; Shop Pay or other supported accelerated checkout methods; Gift Cards; Shopify Store Credit; Zelle; cash on pickup; and other approved payment methods.

Available payment methods may vary by order, customer, device, product, fulfillment method, or Shopify configuration. You agree to provide accurate payment and transaction information and to comply with payment instructions displayed at checkout or otherwise provided for the transaction.

Third-party payment services may be governed by their own terms and privacy practices.

11. Manual Payments

Where we offer Zelle, cash on pickup, or another manual payment method, the order may remain unpaid, pending, or subject to verification until payment is received or otherwise confirmed.

Customers are responsible for following the displayed payment instructions, using accurate payment references or identifying information where requested, and paying the correct amount within any applicable timeframe.

We may cancel or decline to fulfill an unpaid or unverifiable order where permitted by law and consistent with disclosed order terms.

12. Unauthorized Payments, Fraud, and Chargebacks

You may not knowingly use an unauthorized payment method; submit fraudulent payment information; misuse Gift Cards or Store Credit; abuse promotions, discounts, loyalty rewards, refunds, returns, or cancellation procedures; initiate knowingly false or abusive payment disputes or chargebacks; or otherwise use the Services to commit fraud.

Unauthorized payment activity, fraudulent payment, intentional misuse of a payment method, or abusive disputes or chargebacks may result in order cancellation, account restriction, dispute response, recovery of amounts lawfully owed, or other lawful action.

Nothing in this section restricts a customer’s lawful right to dispute an unauthorized, erroneous, defective, or otherwise legitimately disputable transaction.

13. Returns, Refunds, Cancellations, and Order Changes

Returns, refunds, cancellation requests, cancellation fees, Store Credit options, order-issue claims, replacements, and order changes are governed by our then-current Return, Refund & Cancellation Policy and applicable product-specific rules disclosed before purchase.

Because our current catalog consists primarily of food and other perishable products, current food products are generally Final Sale, subject to our published quality-claim procedures and mandatory rights under applicable law.

Eligible customer-initiated cancellation requests are subject to the applicable cancellation window, merchant approval, and refund options described in the Return, Refund & Cancellation Policy. The submission of a cancellation request does not automatically cancel an order.

For an eligible customer-initiated cancellation, if the customer chooses a refund to the original payment method, a 3% cancellation/payment-processing fee applies to the applicable original monetary payment amount, as further described in our Return, Refund & Cancellation Policy. If available and the customer instead chooses to receive 100% of the eligible cancellation amount as Shopify Store Credit, the 3% cancellation/payment-processing fee does not apply. The 3% fee does not apply to merchant-caused cancellations.

14. Delivery, Pickup, and Fulfillment

Delivery, pickup, and fulfillment are governed by our Shipping, Delivery & Pickup Policy, applicable product terms, available service areas, schedules, minimum-order requirements, fees, and other disclosed conditions.

Customers are responsible for providing accurate delivery or pickup information, contact information, building, unit, gate, parking, or access instructions, and other information necessary to complete fulfillment.

Customers are also responsible for timely pickup, reasonable availability for delivery where required, and proper product handling after receipt. Delivery and pickup times may be estimates unless expressly guaranteed.

15. Food Safety, Allergens, Storage, and Customer Handling

Food products may contain or come into contact with major food allergens, including milk, eggs, fish, crustacean shellfish, tree nuts, peanuts, wheat, soybeans, and sesame. Cross-contact may occur in commercial kitchens, production facilities, supplier facilities, storage areas, or fulfillment environments.

Unless expressly stated in writing for a specific product, customers should not assume that a product is allergen-free or suitable for a medically prescribed diet.

Customers are responsible for reviewing available ingredient and allergen information; communicating relevant questions or requests before purchase; following storage, refrigeration, freezing, preparation, and reheating instructions; refrigerating or freezing food promptly where appropriate; and using reasonable food-safety practices after receiving or picking up an order.

An allergen, dietary, or special-handling request is not considered accepted or guaranteed unless we expressly confirm it. Additional requirements are stated in our Food Safety & Allergen Notice.

16. Gift Cards

Chefs Collection Food Gift Cards are subject to our Gift Card Terms and applicable law. Gift Cards are closed-loop stored-value instruments usable only for eligible purchases from Chefs Collection Food through supported Chefs Collection Food sales channels.

The redeemable balance is the amount loaded to the Gift Card. A promotional discount on the purchase price does not reduce the loaded value unless the promotion expressly states otherwise.

For example, under our current promotional structure as of the Last Updated date, if a $300 Gift Card is offered for a promotional purchase price of $285 and Shopify issues a $300 Gift Card balance, the redeemable stored value is $300. Promotional pricing may change prospectively, but the loaded value shown for the Gift Card at the time of purchase controls.

Gift Cards do not expire and do not carry activation, maintenance, dormancy, or other service fees that reduce their balance, except only where a different treatment is expressly permitted by applicable law and properly disclosed.

Gift Card cash redemption, replacement, refunds, fraud restrictions, and other conditions are governed by our Gift Card Terms, Return, Refund & Cancellation Policy where applicable, and applicable law. Electronic issuance or delivery of a Gift Card does not by itself eliminate an otherwise applicable cancellation-request window. However, once any portion of a Gift Card has been redeemed or used, the Gift Card is considered used and is no longer eligible for voluntary customer-initiated cancellation or refund of its remaining balance, except where required by applicable law.

17. Store Credit

Shopify Store Credit or other Chefs Collection Food Store Credit may be issued for eligible cancellations, refunds, service resolutions, promotions, or other approved reasons.

Store Credit is not the same as a Gift Card; is generally non-transferable unless otherwise stated; is closed-loop and usable only for eligible purchases from Chefs Collection Food through supported sales channels; does not carry activation, maintenance, dormancy, or other service fees that reduce its balance; and is not generally redeemable for cash except where required by law.

Where Store Credit is offered as an alternative to an eligible refund or approved cancellation resolution, applicable terms are stated in our Return, Refund & Cancellation Policy and Store Credit Terms.

18. Loyalty and Rewards Program

Participation in any Chefs Collection Food loyalty or rewards program is subject to the then-current Loyalty & Rewards Program Terms and program settings.

Reward eligibility may depend on eligible products, eligible transaction amounts, account status, discounts, exclusions, promotions, and technical capabilities of the loyalty platform.

The purchase of a Gift Card itself does not earn loyalty points or rewards. Products individually designated as discounted, sale, promotional, combo, or otherwise excluded products do not earn loyalty points or rewards unless expressly stated otherwise.

An order-level Shopify discount code does not necessarily make otherwise eligible products ineligible. Where supported by the loyalty platform, rewards are calculated using the eligible amount actually paid after applicable order-level discounts.

Rewards may be adjusted or reversed following refunds, cancellations, chargebacks, or other qualifying transaction changes.

During the current promotional and customer-acquisition stage of the Program, loyalty points do not have an expiration date. Chefs Collection Food may prospectively establish, modify, shorten, extend, suspend, or remove points-expiration periods or conditions, and may modify earning rates, redemption rates, reward types, eligibility requirements, exclusions, and other Program features, subject to the then-current Loyalty & Rewards Program Terms and applicable law.

Loyalty points that were credited incorrectly or in excess of the amount properly earned—including because of system, software, Shopify, loyalty-application, synchronization, configuration, calculation, duplicate-award, administrative, manual-entry, or other verified errors—may be corrected, adjusted, deducted, or reversed as reasonably necessary under the Loyalty & Rewards Program Terms.

Properly earned points will not be arbitrarily removed. Current expiration rules, earning and redemption terms, point-adjustment rules, and other Program conditions are governed by the then-current Loyalty & Rewards Program Terms.

19. Future Non-Food Merchandise

We may offer cookware, kitchen tools, dining or entertaining products, outdoor or camping equipment, appliances, accessories, or other non-food merchandise in the future.

Such products may have different return windows, condition requirements, warranty terms, manufacturer warranties, return-shipping responsibilities, restocking or other permitted fees, and final-sale restrictions.

Product-specific terms and Shopify Return Rules disclosed for eligible non-food merchandise supplement these Terms and our Return, Refund & Cancellation Policy.

Where applicable law requires conspicuous disclosure of restrictive return or final-sale terms, we will provide the required customer-facing disclosure.

20. Product Safety, Warranties, and Recalls

Non-food merchandise may be covered by manufacturer warranties, supplier warranties, or other product-specific warranties. Unless expressly stated otherwise, Chefs Collection Food does not create an additional manufacturer warranty merely by reselling third-party merchandise.

Nothing in these Terms disclaims or limits a warranty or consumer remedy that cannot legally be disclaimed or limited.

If we receive a material product-safety or recall notice affecting an item sold through our platform, we may take reasonable steps to notify affected customers where appropriate; suspend or remove the product; provide recall instructions; coordinate with the applicable manufacturer, supplier, regulator, or other responsible party; or take other appropriate action.

21. Intellectual Property

Unless otherwise stated, the website and its original content—including Chefs Collection Food names, logos, branding, text, graphics, photographs, videos, page designs, product descriptions, compilations, and marketing materials—are owned by or licensed to Chefs Collection Food and are protected by applicable intellectual-property laws.

Third-party trademarks, logos, photographs, product information, and other materials remain the property of their respective owners.

You may not reproduce, copy, modify, distribute, publish, commercially exploit, scrape, or create derivative works from protected content except as permitted by law or with appropriate authorization.

22. Reviews, Photos, Videos, and Other User Content

If you submit a review, comment, photograph, video, testimonial, recipe-related content, feedback, or other material to us or through the Services, you represent that you have the right to submit that material and that it does not unlawfully infringe another person’s rights.

To the extent permitted by law, you grant Chefs Collection Food a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, adapt, and distribute submitted content for operating the Services, customer support, product presentation, quality control, marketing, and related lawful business purposes. This license does not transfer ownership of your content to us.

We may moderate or remove content that is unlawful, fraudulent, abusive, misleading, infringing, or otherwise violates these Terms or applicable platform rules.

23. Prohibited Uses

You may not use the Services to violate applicable law; infringe intellectual-property, privacy, publicity, or other rights; submit materially false or misleading information; impersonate another person; commit or facilitate fraud; misuse promotions, loyalty rewards, Gift Cards, Store Credit, refunds, returns, or cancellations; upload malicious code; interfere with website, checkout, account, security, or platform operations; attempt unauthorized access to accounts, systems, or data; scrape, harvest, or collect data through unauthorized automated means; harass, threaten, or abuse customers, staff, partners, or other persons; or engage in activity that materially threatens the security or lawful operation of the Services.

We may restrict or terminate access, cancel affected orders, or take other lawful action in response to material violations.

24. Third-Party Services and Links

Our Services may rely on or link to third-party services, including Shopify, payment providers, delivery services, communications services, social-media platforms, analytics providers, loyalty applications, and other technology or business providers.

Those services may be governed by their own terms and privacy practices. We do not control every third-party service and are not responsible for independent third-party acts or omissions except to the extent responsibility cannot lawfully be excluded.

25. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website and Services are provided on an “as available” basis.

We do not guarantee that the website will operate without interruption or error; every product will remain available; every delivery or pickup estimate will be exact; third-party services will always remain available; or every non-material website error will be corrected immediately.

Product-specific warranties, mandatory statutory warranties, and rights that cannot legally be excluded remain unaffected. Nothing in these Terms excludes warranties or protections that applicable law does not permit us to disclaim.

26. Limitation of Liability

To the fullest extent permitted by applicable law, Chefs Collection Food & Supply and its owners, officers, employees, agents, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Services or an affected transaction where such damages may lawfully be excluded.

Where permitted by law, our aggregate liability arising from a particular order or transaction will generally not exceed the amount actually paid to us for the affected order or transaction.

These limitations do not apply to liability that cannot legally be limited or excluded, including liability to the extent arising from fraud, willful misconduct, or other matters for which applicable law prohibits limitation. Nothing in this section limits mandatory consumer remedies.

27. Customer Responsibility

To the extent permitted by law, we are not responsible for loss or damage caused by materially inaccurate information supplied by the customer; unauthorized customer account use resulting from the customer’s failure to reasonably protect credentials; improper storage, refrigeration, freezing, preparation, reheating, or handling after receipt; failure to follow material product instructions or safety warnings; missed pickup or delivery caused by customer unavailability or inaccurate access information; or misuse of non-food merchandise contrary to product instructions or warnings.

This section does not excuse our own legal responsibilities or those of another responsible party.

28. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Chefs Collection Food & Supply and its owners, officers, employees, agents, and representatives from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Services; material breach of these Terms; infringement of another person’s rights; fraudulent conduct; or user content that you did not have the lawful right to submit.

This obligation does not require you to indemnify us for our own negligence, willful misconduct, statutory violation, or other responsibility that applicable law does not permit us to transfer to you.

29. Force Majeure

To the extent permitted by law, we are not responsible for delay or failure caused by events reasonably beyond our control, including severe weather; wildfire; earthquake; flood; power or utility interruption; transportation disruption; supplier interruption; labor disruption; government action; public-health emergency; internet or telecommunications failure; or material Shopify or third-party platform outage.

We may cancel, reschedule, substitute, refund, or otherwise reasonably address affected orders consistent with applicable law and our published policies.

30. Suspension or Termination of Access

We may suspend, restrict, or terminate access to customer accounts or Services where reasonably necessary because of fraud, security risk, material violation of these Terms, abusive conduct, unlawful activity, or material misuse of our programs or Services.

Termination or suspension does not eliminate payment obligations or other obligations that arose before termination.

31. Changes to the Services and These Terms

We may modify our products, Services, features, fulfillment methods, production relationships, or these Terms as our business, Shopify functionality, or applicable law changes.

Material changes to these Terms will be reflected by updating the Last Updated date and, where required by law, by providing additional notice. Changes will apply prospectively to the extent required by applicable law.

Terms and disclosures applicable when an order was placed continue to govern that transaction to the extent required by law.

32. Governing Law

These Terms and transactions with Chefs Collection Food are governed by the laws of the State of California, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

Nothing in these Terms prevents a consumer from asserting rights in a court, agency, venue, or jurisdiction that applicable law makes available and that cannot validly be waived.

33. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary, and the remaining provisions will remain in effect.

34. No Waiver

Failure to enforce a provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.

35. Assignment

You may not assign rights or obligations under these Terms in a manner that materially prejudices us without our consent, except where applicable law provides otherwise.

We may assign or transfer our rights or obligations in connection with a merger, acquisition, financing, restructuring, sale of assets, or other lawful business transaction, subject to applicable law.

36. Entire Agreement and Policy Hierarchy

These Terms, together with the policies and product-specific terms incorporated by reference, constitute the applicable agreement between you and Chefs Collection Food concerning use of the Services and applicable transactions.

Product-specific or promotion-specific terms disclosed before purchase supplement these Terms. Where a specifically disclosed product or promotion rule conflicts with a general provision, the specific rule controls for that product or promotion to the extent permitted by law.

Our Privacy Policy controls with respect to privacy and personal-information matters.

Our Return, Refund & Cancellation Policy controls with respect to returns, refunds, cancellations, and related claims.

Our Shipping, Delivery & Pickup Policy controls with respect to fulfillment matters.

Our Gift Card Terms control with respect to Gift Card issuance, loaded value, redemption, cash redemption, replacement, and related restrictions.

Our Store Credit Terms control with respect to Store Credit issuance, redemption, restrictions, and related matters.

Our Loyalty & Rewards Program Terms control with respect to loyalty eligibility, earning, redemption, exclusions, expiration, adjustments, reversals, and program administration.

Our Food Safety & Allergen Notice controls with respect to food-safety, allergen, storage, handling, and related disclosures.

Mandatory applicable law controls over conflicting policy language.
